have now the honour to enclose cory of a despatch which
I have received from Kie Majesty'e conall-Goneral at
Shanghal containing certain observations on the draft
Order, and sino of a dospatch from Sir H. de Saumares
replying to Sir Everard Fraser's criticisms.
A careful study of these documents has confirmed
mo in the sonolusion to which I had already been led by
the previous correspondence, næsely that the register
to be established at shanghai for joint stock companies
trading in china, should be entirely independent of the
Fongkong register, and that the law to be applied to such
companies should be the Iglish law independent of the
Hongkong Ordinances; or to put # shortly that in regard
to this part of the question the more correct course 18
indicated by Mr. Bourne and Sir 3. Prager.
The argumente against the policy of making the
Shanghai registry a branch of the Hongkong registry
which are summed up with overwhelming force in the oor-
respondence now under consideration, have been repeatedly
